SFR takeover: Altice France officially opens the door to Bouygues, Iliad and Orange

This time, it's no longer just rumors. Altice France, the parent company of SFR, has entered into exclusive negotiations with Bouygues Telecom, Iliad (Free), and Orange, according to information published on April 17. The signal is clear: the group's financial fragility, weighed down by years of debt, is reviving the long-held dream of consolidation in the French telecom market. The landscape, however, remains unchanged: four-way competition driving prices down, heavy investments in fiber and 5G, and operators under pressure to be both profitable and deliver impeccable network quality.

A cake too big for one bite

A pie too big for one bite. In reality, a takeover of SFR by a single competitor resembles an equation with multiple unknowns. The Competition Authority, Arcep (the French telecoms regulator), and potentially Brussels, will scrutinize every move from the perspective of prices, employment, coverage, and investment commitments. The operators, for their part, are proceeding cautiously: officially, they usually reiterate that "any operation would be subject to regulatory approvals," and they are careful not to comment too much until anything is signed. The most credible scenario in recent years often resembles a puzzle: asset sales, frequency sharing, transfers of customers or network segments, all to avoid a sudden and dramatic shift from four to three players.

Behind the announcement, Drahi's method is also back in the spotlight: a debt-financed acquisition strategy, followed by a long series of refinancings, asset sales and reorganizations since the acquisition of SFR in 2014. For Orange, with the State as the reference shareholder, every step is politically sensitive; for Bouygues Telecom, which has already come close to consolidation operations, the opportunity is tempting; for Iliad, the historical architect of price reductions, the balance is delicate between growth and the image of a troublemaker.
